Membership Agreement and Terms of Service
Hayat. Clinical services provided by Allarakhia M.D., P.C.. Platform and membership administered by Signal Therapies, LLC.
This Membership Agreement (the "Agreement") is between you (the "Member") and Allarakhia M.D., P.C., doing business as Hayat, which provides the clinical services described below, and Signal Therapies, LLC, which provides the Hayat platform and administers your membership. By enrolling, you agree to these terms.
1. What your membership includes
Your membership provides access to telehealth consultations with a licensed clinician, eligibility to receive prescribed products and therapies where clinically appropriate, laboratory testing where included in your plan, and ongoing care coordination. The specific services and any plan limits are described at enrollment.
2. Fees and billing
Hayat is a cash-pay service. You will be charged a single monthly membership fee of $[____], billed automatically to the payment card on file at the start of each billing cycle. We do not bill or accept medical insurance for our services. Please see the separate Cash-Pay and No-Insurance Disclosure, which is incorporated into this Agreement.
Product and laboratory costs are [included in / billed in addition to] the membership fee, as described at signup. Some products and services may be offered on a per-item basis, with the price shown to you before purchase. Where per-item pricing applies, it replaces or supplements the membership fee as described at checkout.
If a charge to your card fails, we will notify you and retry. Services may be paused until payment is current.
3. Eligibility
To enroll you must be at least 18 years old, located in a state where Hayat operates, and able to enter into a binding agreement. You agree to provide accurate and complete health, identity, and contact information, and to keep it current.
4. Medical services and prescriptions
All clinical care is provided by a licensed clinician who exercises independent medical judgment. Membership is not a guarantee of any prescription, product, or outcome. A clinician may determine that a requested product or therapy is not appropriate for you and decline to prescribe it. In that case your membership fee is [refunded on a pro rata basis / handled as described at signup].
5. Fulfillment, shipping, and returns
Prescribed products are prepared and shipped by a licensed partner pharmacy. For safety reasons, prescription products cannot be returned or refunded once shipped, except where a shipment arrives damaged or in error. Replacement policies are described at [location].
6. Term, cancellation, and refunds
Your membership is month to month and renews automatically each billing cycle until you cancel. You may cancel at any time through your online account or by emailing [address]. Cancellation takes effect at the end of the current billing cycle. Fees already charged for the current cycle are [non-refundable / handled as described here]. We will confirm every cancellation in writing.
7. Member responsibilities
You agree to provide accurate health information, to use the services only for yourself, to attend scheduled consultations and complete required laboratory testing, and to keep your account and payment details current. Misuse of the services, sharing of prescribed products, or providing false information may result in termination of your membership.
8. Not insurance, not emergency care
Your membership is not health insurance and does not satisfy any individual insurance mandate. Hayat does not provide emergency services. If you have a medical emergency, call 911 or go to the nearest emergency room.
9. Electronic communications and signatures
You consent to receive communications, agreements, and disclosures from us electronically, and you agree that your electronic signature has the same effect as a handwritten signature.
10. Limitation of liability
To the maximum extent permitted by law, Signal Therapies, LLC is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Nothing in this Agreement limits liability for professional medical services, which remain the responsibility of the treating clinician and Allarakhia M.D., P.C., or any liability that cannot be limited by law.
11. Changes to these terms
We may update these terms from time to time. We will notify you of material changes before they take effect, and your continued membership after notice constitutes acceptance. If you do not accept a change, you may cancel before it takes effect.
12. Governing law and disputes
This Agreement is governed by the laws of the State of Michigan. Any dispute will be resolved in [venue / arbitration provision to be confirmed by counsel].
